Expert Growth System Service Agreement

Commercial terms for the infrastructure, maintenance and performance-based management of an Expert Growth System.

Version 1.012 September 2026Jurisdiction: Zambia

1. Parties and Purpose

This Agreement is between Startup Essentials Consultancy (“Startup Essentials”, “we”, “us”) and the client who accepts these terms (“Client”, “you”). It governs the operation and ongoing maintenance of the Client’s Expert Growth System and the third-party digital infrastructure required to keep the agreed system live and functioning.

2. The Expert Growth System

The Expert Growth System is a connected client-acquisition and growth infrastructure that may include landing pages, lead capture, qualification, booking, CRM, follow-up, automation, reporting, client communications and related digital components agreed in the Client’s implementation scope.

Specific providers and tools may change where a replacement is reasonably required for functionality, security, cost, reliability or continuity.

3. Core Infrastructure Fee

The core infrastructure required to keep the Expert Growth System operational costs ZMW 10,000 per year or USD 500 per year, payable annually in advance.

Think of this as digital rent. It covers access to the underlying third-party systems and providers required for the agreed infrastructure. If those subscriptions are not active, some or all parts of the system may stop functioning.

This fee is separate from Startup Essentials’ management fee. Usage-based or optional costs such as advertising spend, SMS credits, premium email volume, payment-processing fees, domain renewals or paid add-ons are excluded unless expressly included in writing.

4. Ongoing Management Options

ModelFeeHow it works
Managed GrowthZMW 2,500/monthFixed monthly retainer for routine maintenance, monitoring, agreed adjustments and technical management of the system.
Growth Partnership30% of System-Generated ProfitInstead of the ZMW 2,500 monthly retainer, Startup Essentials receives 30% of profit from business generated through the Expert Growth System.

5. System-Generated Business and Profit

For the Growth Partnership model, attribution follows the source of the business opportunity, not the final payment method.

System-Generated Business means any lead, prospect, enquiry, booking, application, proposal opportunity, sale or client relationship that originates from, is captured by, is nurtured through, is booked through, or is materially progressed through the Expert Growth System.

This includes business where payment is made outside the system by bank transfer, mobile money, cash, invoice, payment link, POS, another platform or another payment method.

System-Generated Profit means revenue actually collected from System-Generated Business, less documented direct fulfilment costs for that sale, refunds, chargebacks, payment-processing fees and directly attributable advertising spend. General overhead, owner drawings, unrelated salaries, rent, financing costs, depreciation, unrelated marketing, taxes on profits and discretionary business expenses are not deducted.

Startup Essentials’ performance fee is 30% of System-Generated Profit.

6. Reporting and Verification

Clients on the Growth Partnership model will provide accurate monthly reporting of System-Generated Business and payments received from those opportunities, including payments received outside the system.

The Client will provide reasonable access to relevant CRM records, invoices, receipts, transaction records, booking records and payment information needed to verify attribution and calculate the fee. Knowingly withholding, rerouting, misclassifying or failing to report System-Generated Business is a material breach.

7. Payment Terms

Infrastructure

The annual infrastructure fee is due before activation or renewal of the underlying digital infrastructure.

Managed Growth

The ZMW 2,500 retainer is due monthly in advance on the agreed billing date.

Growth Partnership

The 30% performance fee is calculated monthly and is payable within 7 calendar days after the Client receives the monthly statement or invoice.

Startup Essentials may suspend non-essential maintenance or system access where undisputed amounts remain unpaid after written notice.

8. Attribution After Termination

Where a lead or opportunity was first captured or materially progressed through the Expert Growth System during the Agreement term, payments received from that opportunity within 90 days after termination remain attributable under the Growth Partnership model.

9. Client Responsibilities

  • Provide accurate business, offer, pricing and fulfilment information.
  • Respond to qualified opportunities within reasonable timeframes.
  • Maintain lawful products, services, marketing claims and client fulfilment.
  • Keep relevant accounts and sales records needed for reporting.
  • Protect access credentials and customer information.
  • Notify Startup Essentials promptly of changes that affect the system.

10. Third-Party Providers

The Expert Growth System depends on third-party software and service providers. Startup Essentials does not own or control those providers and cannot guarantee uninterrupted availability of services outside its control. Where a provider materially changes pricing, features or availability, Startup Essentials may recommend a substitute or request approval for material additional cost.

11. Intellectual Property and Access

The Client owns its business information, customer data, brand assets and original content supplied by the Client. Startup Essentials retains ownership of its pre-existing frameworks, methods, templates, diagnostic logic, know-how and reusable system architecture, including the Expert Growth methodology.

Upon termination and settlement of outstanding amounts, Startup Essentials will provide or transfer reasonable access to Client-owned assets where technically possible and subject to third-party provider terms.

12. Confidentiality and Data

Each party will treat confidential business, customer, financial and system information received from the other party as confidential and use it only for purposes connected with the engagement, except where disclosure is required by law.

13. Results and Commercial Risk

Startup Essentials will maintain and improve the agreed system with reasonable professional care. No specific level of revenue, profit, leads, bookings or sales is guaranteed because results also depend on the Client’s offer, pricing, market, traffic, sales process, fulfilment and other factors outside Startup Essentials’ control.

14. Term and Termination

The Agreement begins when accepted and continues until terminated in accordance with the engagement terms. Either party may terminate ongoing management by giving 30 days’ written notice unless a separate proposal specifies another minimum term. Infrastructure fees already committed to third-party providers are non-refundable except where the provider itself issues a refund.

15. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of Zambia. The parties will first attempt in good faith to resolve disputes through direct discussion before commencing formal proceedings.

16. Electronic Acceptance

The Client may accept this Agreement electronically, including by checking an acceptance box and sending a plan-selection message or form that expressly references this Agreement and its version.

Startup Essentials should retain the selected plan, Client identity, date, time and Agreement version as part of the engagement record.
