Start Properly. Stay Compliant. Keep Building.

Business registration should give you a foundation to build on. Compliance should not become the part of the business you only remember when there is a problem.

We help Zambian founders register the right business structure, keep company information up to date and stay on top of the recurring compliance work that comes with operating formally.

Registration

The first question is not “How do I register?” It is “What should I register?”

PACRA itself distinguishes between a business name and a company. Choosing the right structure matters because the legal position, liability and continuity are not the same.

Business Name Registration

A simpler structure for carrying on business under a registered commercial name. Under PACRA guidance, a business name does not have separate legal personality and liability is not limited in the way it is for a limited company.

Useful when: you want a straightforward formal identity for a small or owner-led business.
Registration document: PACRA issues a Certificate of Registration.
Included: name clearance, application preparation, business registration follow-through, ZRA registration support and applicable statutory registration fees.
Register My Business

Private Limited Company Incorporation

A company is a legal entity separate from its owners. PACRA explains that it can own property and be sued in its own name, and it continues despite changes in its membership.

Important distinction: a company has legal personality separate from its members.
Included: name clearance, incorporation documentation, ownership information, PACRA incorporation follow-through, ZRA registration support and NAPSA registration support.
Statutory fees: included in the K7,500 package price.

How the registration process works

We keep the process simple on your side.

01 · CLARIFY Choose the structure.

We establish what you are registering, who is involved and what the business needs to do.

02 · PREPARE Get the information right.

We gather the registration details and supporting information needed for the application.

03 · FILE Submit the registration.

We prepare and lodge the relevant application and follow the process through.

04 · SET UP Think beyond PACRA.

We help you understand the next compliance steps involving tax, employees and health insurance where applicable.

Maintaining a company

Registration is an event. Compliance is ongoing.

A company can be properly registered and still fall behind later. PACRA requires companies to maintain and update key information over time.

Annual Annual Returns

PACRA states that annual returns provide key information about the company's status and should generally be filed within three months of the financial year-end.

Ownership Beneficial Ownership

Companies are expected to keep beneficial-ownership information accurate and up to date. PACRA also requires updated beneficial-ownership information with annual returns.

Company Changes Directors & Secretary

Changes such as appointments, resignations or changes in particulars need to be notified to the Registrar using the prescribed process.

Capital Share Capital Changes

Alterations to company share capital involve formal resolutions and notification to PACRA using the prescribed forms and process.

Beyond PACRA

A registered business may still have obligations in other systems.

This is where many founders get frustrated. Incorporation is only one part of operating formally. Depending on how your business operates, tax, pension and health-insurance requirements may also apply.

ZRA

NAPSA

Pension Obligations

NAPSA says employers with eligible employees are required to register, and employers are responsible for returns and pension contributions.

NHIMA

NHIMA provides an employer-registration pathway for businesses and requires company-registration and tax information as part of that process.

Why Startup Essentials

We do not treat registration as the end of the conversation.

A certificate matters. But the bigger goal is to help you build a business that is properly structured, easier to manage and better prepared for growth.

That is why registration and compliance sit inside the wider Startup Essentials ecosystem of clarity, systems and business growth.

01
We explain what the filing means.

You should understand the business structure and obligation, not only receive a completed form.

02
We look beyond one agency.

PACRA is important, but operating formally can also involve ZRA, NAPSA and NHIMA.

03
We can stay with you after registration.

Monthly compliance support gives you continuity rather than starting over every time something is due.

04
We understand the wider business journey.

Startup Essentials also works across value clarity, growth systems and entrepreneurship, so formalisation is connected to what you are actually trying to build.

Common questions

Before you register or clean up your compliance.

Is a business name the same as a limited company?

No. PACRA distinguishes them. A business name does not have separate legal personality, while a company is a legal entity separate from its owners. See PACRA's explanation.

Do I still have obligations after my company is incorporated?

Yes. For example, PACRA requires annual returns and ongoing updates to certain company information. Other agency obligations can also apply depending on the business.

Why does beneficial ownership matter?

PACRA describes a beneficial owner as the natural person who ultimately owns, controls or receives substantial economic benefit from a company. Companies are expected to keep this information current.

What happens if annual returns are not filed?

PACRA states that annual returns help demonstrate that the company is legally alive and operational, and that non-filing can result in the company being struck off the register.

Are statutory fees included in your prices?

For the K2,750 Business Registration + ZRA package and the K7,500 Private Limited Company + ZRA + NAPSA package, the stated price includes the applicable statutory registration fees. For compliance retainers, one-off compliance work, penalties and other services, government or third-party charges remain separate unless a quotation explicitly says otherwise.

Can you help if the company is already behind?

Yes. We can first review the specific issue and identify the filings or corrections required, then scope the work before proceeding.
